Payment Terms

Unless otherwise specified in a separate agreement:

• All fees are in USD and exclude applicable taxes
• Payment is due within 30 days of invoice date
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for non-payment
• Refunds are handled on a case-by-case basis per the project agreement

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DNA INTERNATIONAL SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION
• COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES

Whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us in the 12 months preceding the claim, or $10,000 USD, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless DNA International, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any content or data you provide to us

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes:

• Technical specifications and designs
• Business strategies and plans
• Financial information
• Customer data and lists
• Trade secrets and know-how

Confidential information shall be protected for a period of 5 years from disclosure and may not be used for any purpose other than fulfilling obligations under our agreement.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our discretion for operational or business reasons

Upon termination:

• Your right to use our services will immediately cease
• Any outstanding fees become immediately due

• Provisions that by their nature should survive will remain in effect

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through:

• Negotiation: Good faith discussions between parties for 30 days
• Mediation: If negotiation fails, non-binding mediation in Singapore
• Arbitration: Binding arbitration under Singapore International Arbitration Centre (SIAC) rules

Each party shall bear its own costs, unless the arbitrator decides otherwise. The arbitration shall be conducted in English.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending email notification to registered users
